SM Energy Announces Private Offering of $400 Million of Senior Notes Due 2024

DENVER--(BUSINESS WIRE)-- SM Energy Company (NYSE: SM) today announces that, subject to market conditions, it intends to offer $400 million of senior unsecured notes due 2024 in a private placement to eligible purchasers. The company intends to use the net proceeds from the offering to repay outstanding borrowings under its credit facility and for general corporate purposes.

The notes have not been registered under the Securities Act of 1933 (the “Securities Act”) or applicable state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state securities laws. The notes may be resold by the initial purchasers pursuant to Rule 144A and Regulation S under the Securities Act.
